1. Agreement & Scope of Services

These Terms & Conditions ("Terms") govern all consulting engagements, engineering sprints, architectural audits, and fractional advisory services provided by Muhammad Ajmal ("Engineer", "Consultant") to client entities ("Client"). Services include but are not limited to:

  • Distributed systems architecture, high-concurrency API design, and database schema normalization.
  • Laravel performance profiling, query trace audits, Redis caching topologies, and message queue optimization.
  • Autonomous AI agent pipeline development (LangChain, OpenAI, Claude, vector retrieval, and background queues).
  • Technical team leadership, PR reviews, code standards establishment, and deployment automation (CI/CD).

2. Sprint Methodology & Acceptance Testing

Engagements are structured into well-defined, time-boxed sprints (typically 1 to 2 weeks each) with verifiable deliverables:

  • Verifiable Staging Releases: At the close of each sprint, work is deployed to a staging environment or delivered via PR branch with passing unit, integration, or load-test assertions.
  • Acceptance Period: Client has five (5) business days following sprint delivery to test and verify functionality against agreed scope. Any defect identified during this window is resolved promptly at zero additional cost.
  • Milestone Sign-Off: Absence of written objections within the acceptance window constitutes formal acceptance of that milestone.

3. Intellectual Property (IP) Transfer

We believe in complete client sovereignty over work product:

  • Full Assignment of Custom IP: Upon receipt of full payment for the applicable milestone or sprint, all custom code, configuration files, schema designs, and documentation developed specifically for Client become the exclusive property of Client.
  • Pre-Existing & Open-Source Tools: Standard open-source frameworks (Laravel, PostgreSQL, Docker, Redis, TailwindCSS, etc.) remain governed by their respective permissive licenses (MIT, BSD, Apache 2.0).
  • No Proprietary Lock-In: Architectures are designed using industry-standard conventions so any qualified senior engineer can maintain and expand the system.

4. Client Responsibilities & Staging Access

Smooth project velocity requires timely cooperation:

  • Sanitized Test Data: Client agrees to provide sanitized staging environments or anonymized database snapshots rather than live production customer records.
  • Timely Feedback: Prompt responses to architecture clarification questions and PR reviews ensure sprint momentum is maintained.

5. Invoicing & Payment Terms

Unless specified differently in an executed Statement of Work (SOW):

  • Fixed-scope sprint deliverables require a 50% deposit before sprint kickoff and 50% upon acceptance sign-off.
  • Monthly fractional retainers are billed at the start of each monthly cycle and are cancelable with 14 days written notice.
  • Invoices are issued electronically and payable via international wire transfer, Wise, Stripe, or corporate escrow within 14 calendar days.

6. Warranties & Limitation of Liability

We build robust, defensively engineered backends designed for enterprise reliability:

  • 30-Day Stabilization Warranty: All custom code delivered during sprint milestones includes a 30-day bug-fix guarantee against code-level regressions within the agreed technical specifications.
  • Limitation of Liability: To the maximum extent permitted by law, total aggregate liability for any claims arising from the engagement shall not exceed the total fees actually paid by Client for the specific sprint giving rise to liability.
  • No Consequential Damages: Neither party shall be liable for indirect, incidental, or consequential damages such as lost profits, third-party hosting outages, or upstream provider failures.

7. Questions or Custom SOW Requests

To execute a customized Master Services Agreement (MSA), request bilateral NDA signing, or discuss sprint scoping:
